SALES TERMS & CONDITIONS
QUOTATIONS: The price and delivery quoted will be valid for 60 days from the date quoted, subject to material availability at the time the order is actually placed.
ACCEPTANCE: Wink Fasteners, Inc. (Wink) requires our Sales Order Acknowledgement and Terms to be signed and returned before releasing any order of $5,000 or more.
SHIPPING TOLERANCES: The industry standard is +/- 10%. Wink is working with our suppliers to keep shipping tolerances within 5% of order quantities. If you must have exact quantities, please stipulate that requirement when you request a quote. We try to give our customers what they ask for, however shipping exact quantities is not always the most economical way to order. Most of our suppliers charge an extra 10% to manufacture EXACT quantities.
DELIVERY: Parts stocked at the Richmond Facility will ship in one (1) business day. All Other parts will ship per written quoted times.
WAREHOUSING & STORAGE: With your written confirmation, Wink will hold any shipment for more than 5 days beyond the original scheduled shipping date, on a space available basis and for a storage fee. The storage fee will be an additional 2% of the order per month. If additional warehousing space is required, those charges and an additional handling fee of 25% of the warehousing costs would be charged to your account. We will invoice your account per the original scheduled ship date.
SHIPPING: All orders are shipped F.O.B. shipping point. Title to the goods sold hereunder shall pass to you when you pay all amounts due to Wink in full. Risk of loss and/or damage to the goods shall pass to you when the goods leave the shipping point for delivery to you.
CHANGES OR CANCELLATION: Specially manufactured parts will have a 100% cancellation fee if they are in production or if the material has been purchased. All other parts will have a 20% restocking fee.
RETURN OF GOODS: Pre-authorization, signified by the issuance of a Return Authorization number, is required prior to returning any parts to Wink. Your account will be credited, less any restocking charge that may apply, after we receive the parts.
MINIMUM ORDER: Total Order minimum is $75.00. Our minimum line charge is $4.00
PAYMENT TERMS: Wink offers various payment terms including COD, prepayment, wire transfer, credit card (M/C, VISA and American Express), and Net 30 days on initial orders over $250.00 (upon approval of credit).
INSOLVENCY AND BANKRUPTCY: If you become insolvent or make a general assignment of the benefit of creditors, or file or have filed against it a petition in bankruptcy or for reorganization, or business any other remedy under any law relating to the relief of debtors, or in the event a receiver be appointed for your property or business. Wink may, at its option, terminate this order.
SALES TAX: All Virginia customers must have a resale certificate on file or pay Virginia Sales Tax. You are responsible for all sales and use taxes.
WARRANTY: All products sold by Wink are warranted to be in accordance with the purchase order. Wink makes no other warranty of any kind, express or implied. Wink expressly disclaims all other warranties, express or implied including any warranty of merchantability and any warranty of fitness for a particular purpose. In the event of a breach by Wink, of any of the terms, provisions or warranties under this contract Wink’s liability shall be limited to replacement of any goods which are the subject of any such breach, default, or violation. Such replacement shall be your sole and exclusive remedy. In no event shall Wink be liable for lost profits, injury to good will or any other special, incidental, or consequential damages. No suit or legal proceeding arising under this contract shall, in any event, be maintainable against Wink Fasteners, Inc. within one (1) year after delivery or failure of delivery of the goods.
